Affle demands full inspection on Bobble and has filed Execution Petition in the Delhi High Court to enforce its rights, pursuing justice and can take fair exit from Bobble

Despite Court orders, Bobble Refuses to Permit Inspection

June 21, 2024: With respect to Affle India Limited (“Affle”) minority investment in Talent Unlimited Online Services Private Limited (“Bobble”), Affle demands full inspection on Bobble and has secured Delhi High Court order for the same. Affle has also filed an execution petition in the Delhi High Court to enforce the full inspection rights on Bobble as per the Shareholder’s Agreement. Bobble has refused to comply and is blatantly in contempt of court orders.
In July 2023, Delhi High Court in its order upheld Affle’s right of inspection as per the Shareholder’s Agreement and Bobble was asked to comply promptly. Bobble failed to comply with the Court orders and Affle is therefore pursuing the contempt petition in Delhi High Court against Bobble.

During the pendency of the disputes in Arbitration in SIAC and Delhi International Arbitration Centre (“DIAC”) where Affle is the aggrieved claimant, Xiaomi exited majority of its investment in Bobble by selling shares to Krafton – a Korean listed company with significant dealings with Tencent in China. Krafton had earlier failed to make payment to Affle to acquire a stake in Bobble, till the extended long stop date of the agreement in October 2022 as Krafton failed to provide the mandatory declarations required by our Authorised Dealer Banker for compliances under FEMA. Speaking on the Development, Affle Said:
Affle has consistently invoked its right of inspection on Bobble for over 18 months on account of suspicious activities, breaches of fiduciary duties and regulatory compliances, including financial and data leakages. Bobble management (supported by Saif Partners / Elevation Capital) wants to “put a lid” on all illegal conduct of Bobble and they have scuttled Affle’s pre-emption rights and inspection rights systematically. They are highly connected and trying to use all means to arm twist Affle into a low balled unfair settlement and exit. Notably, Affle was ready to exit from Bobble but Krafton did not make payment to Affle’s bank account in October 2022 and yet through some other suspicious transactions Krafton managed to become a shareholder of Bobble and it is also supporting Bobble’s continued poor governance conduct including evasion of court orders for inspection. We have zero tolerance for poor governance, wilful breaches and financial misconduct and we are pursuing justice at all levels.

Bengaluru – We consider that the construction of the Shriram temple at Ayodhya after 500 years of struggle marks the first step towards the creation of the ‘Hindu Rashtra’. However, given the situation in the country post Parliamentary elections, to solve problems faced by Hindus it is crucial to work in a planned manner by creating an ecosystem that addresses these problems. A report released during the recent election revealed a significant demographic shift. From 1950 to 2015, the Hindu population decreaseda about 8%, while the Muslim population increased by about 43.15%. This growth is considered unnatural, primarily due to the rising number of illegal Bangladeshi and Rohingya infiltrators in India. There should be strict legal actions, including cases of treason, against those who assist these infiltrators in obtaining Indian citizenship documents such as Passports, Aadhaar Cards, and PAN Cards. Recent incidents have shown that these illegal infiltrators have even participated in elections using forged documents, posing a serious threat to India’s democracy. Several such infiltrators were arrested in Mumbai this year. Therefore, conducting a new census to update population data, which has not been done since 2011, is imperative to understand the demographic changes over the last 13 years. Additionally, the implementation of the Citizenship Amendment Act (CAA) and the National Register of Citizens (NRC) across India should be expedited.

When it comes to the country’s security, the terrorist attack on a bus of devotees traveling to Mata Vaishno Devi has revealed that terrorism in Kashmir is now slowly shifting towards Hindu dominated Jammu. Anti-national and foreign forces, including the Khalistan movement in Punjab, have been actively trying to destabilise India. Attacks on Hindus have increased worldwide, including in India. At such a time, a conspiracy is being hatched to divide Hindus by involving them in caste conflicts. However, no matter how much they try to create such obstacles in the way of establishing the ‘Hindu Rashtra’, the conspiracies of the opponents will not succeed due to the unity of Hindus. In view of the increasing war-instability in various countries globally, it is only Hindu Dharma that can unite and bring together all societies by presenting the concept of universala brotherhood and ‘Vasudhaiva Kutumbakam (The whole world is one single family)’. This is why the twelfth ‘All India Hindu Rashtra Adhiveshan (Convention)’, also known as the ‘Vaishvik (Global) Hindu Rashtra Mahotsav’, has been organised like every year to speed up the mission of establishing the ‘Hindu Rashtra’. The festival will be held from 24th to 30 June 2024 at ‘Shri Ramnath Devasthan’, Ponda, Goa, announced by Shri Mohan Gowda, State Spokesperson of the Hindu Janajagruti Samiti in a Press Conference. It was organised at Press club, bengaluru and Hindu Vidhidnya Parishad Ady Prasanna D P, Mr. Santosh Kenchamba, Founder President, Rashtra Dharma Sangathane, Shri M L Shivakumara, Hindu leader, Vijaya Nagara, Shri Somesh Reddy, Scretory, Shri Choudeshwari temple, Narayanagatta, shri Mallikarjun, Karmik Pratishtan also present.

Key topics to be covered will include. ‘Ideological Security of Sanatan, Dharma’, ‘Countering the anti-Dharma and anti-Rashtra Narratives’, ‘Measures to Protect Hindu Society’, ‘Constitutional efforts for establishing the ‘Hindu Rashtra’, ‘Measures to protect the Temple Culture’, ‘Protection of Hindutva Globally’, ‘Challenges posed by the Halal Economy to the Nation’s Economy’, ‘Land Jihad, ‘Kashi-Mathura Liberation’, ‘Encroachments on Forts and Fortresses’. These and other topics necessary for laying the foundation of the ‘Hindu Rashtra’ will be brainstormed in this festival, fostering a comprehensive dialogue aimed at the establishing the ‘Hindu Rashtra’.

“Pedaluru 2024”

With over 550 registrations, the 1st edition of Pedaluru had a great start. Event day saw the cyclists turn up early in the morning at Kanteerava stadium on Sunday, 9th June. Pedaluru 2024 turned out to be a grand success in that, citizen cyclists from the city for this not-for-profit event which is a 1st step in galvanising cyclists of Bengaluru into a strong community.

City Traffic police Jt. Commissioner Shri. Anucheth was the chief guest for this event.

Pedaluru partner AltMo awarded its 1st corporate award to an MNC that showed commitment to environmental sustainability by creating challenges for employee cycling to work. Shilpi Sahu of Qualcomm was the recipient of the award. Many professionals from other corporates too signed up to promote cycling as a commute option to compete for awards for our next edition in 2025.

GIZ India and CfAM organised this event as part of the 3 main goals to encourage cycling as a sustainable mode of urban commute.

Engage: Engage with the cyclists of the city, with citizen groups, civic activists and corporates to adopt cycling as an ideal option for commute. Campaigns through social media and on-ground activations to encourage cycling in the city.

Build: Advocacy and design for better cycling infrastructure, enforce traffic laws for cyclist safety and make Bengaluru the cycling capital of the country. Work closely with govt agencies such as: DULT, BBMP, BMRCL, K-Rail, Bengaluru Smart City etc to achieve above goals.

Pedaluru is supported by the Indo-German Development Cooperation project “Sustainable Urban Mobility: Air Quality, Climate Action, and Accessibility” (SUM-ACA). Advancing LPG Cylinder Management with QR Code Technology

Bengaluru, 30th May,2024: The Grahak Dakshata Kalyan Foundation, a dedicated organization committed to protecting consumer rights and promoting social welfare, strongly supports the government’s latest initiatives to enhance the management of LPG cylinders using advanced QR code technology.

In an effort to improve the efficiency and transparency of LPG distribution, Indian Oil Corporation Limited (IOCL) has initiated a pilot project at the Madanpur Khadar Bottling Plant in Delhi. This project involves tagging LPG cylinders with QR codes to enable precise tracking and inventory management. As of December 7, 2023, IOCL has successfully dispatched over 165,000 QR-tagged 14.2 kg cylinders to two distributors in the Delhi market.

This QR code system is part of a broader strategy by public sector oil marketing companies (OMCs) to prevent the theft and illegal sale of lightweight LPG cylinders. Key measures include:

Weighing and Sealing: Bottled cylinders are weighed and sealed with tamper-

evident seals.

Quality Control: 10% of cylinders undergo statistical quality control.

Pre-delivery Checks: Cylinders are checked at bottling plants before delivery.

Portable Scales: Delivery personnel carry portable weighing scales to verify cylinder weight at delivery points.

Inspections and Awareness Campaigns: OMC officers conduct voluntary inspections and public awareness campaigns to ensure compliance and educate consumers.

Despite these benefits, some gas agency owners and hawkers from public sector units (PSUs) have opposed the new distribution system. They have not been cooperating and have even gone on strike in protest. However, it is crucial to recognize that customers have the right to wait and verify that the connection has been properly completed before accepting the delivery.

In addition to enhancing cylinder management, the Direct Benefit Transfer for LPG (DBTL) scheme, implemented in January 2015, ensures subsidies are directly transferred to customers’ bank accounts, either through Aadhaar Transfer Compliant (ATC) or Bank Transfer Compliant (BTC) modes. Since August 2021, these payments have been managed through the Public Financial Management System (PFMS), which provides a real-time, reliable management information system.

This system has helped eliminate ghost accounts, duplicate accounts, and dormant accounts, significantly curbing the misuse of subsidized LPG for commercial purposes. As a result, over 4 crore domestic LPG connections have been blocked due to missing or duplicate connections, and more than 1.1 crore consumers have voluntarily waived their subsidies under the “GiveltUp” campaign.

Call for Broader Implementation

We urge the government to expedite the nationwide implementation of QR code tracking for all LPG cylinders. This technology will play a crucial role in:

Reducing Illegal Sales: Preventing the black market sale of LPG cylinders.

Enhancing Safety: Reducing the number of domestic accidents caused by unauthorized storage and handling.

Increasing Revenue: Ensuring proper taxation and preventing loss of revenue due to illegal activities.

During our recent conference, we highlighted the significant price difference between commercial and domestic LPG usage, which often leads to black marketing and illegal storage of 14.2 kg cylinders. Our foundation is committed to advocating for innovative solutions, such as barcoding or biometric systems, to curb these illegal activities and ensure fair and safe distribution of LPG.

We believe that these initiatives will receive widespread support as they promote transparency, consumer safety, and efficient resource management.
